Establish Vitality Now, a Swiss Association (Verein), to represent and safeguard VitaDAO’s governance model. Decision power remains with VitaDAO’s governance mechanisms, while the Swiss Association executes community-driven decisions within the boundaries of Swiss and international law.

Objective

To formalize Vitality Now Association as the entity that:

1. Executes VitaDAO’s Decisions on governance, IP rights, and other matters in accordance with community mechanisms and applicable law.
2. Represent, defend and protect VitaDAO’s best interests, as well as acting on its behalf in formal matters whenever required or necessary.
3. Ensures Regulatory Compliance with Swiss and international requirements.
4. Manages Contractual Relationships with core and strategic contributors and service providers.

Proposal Overview

This proposal establishes the Vitality Now Association as VitaDAO’s legal steward to manage IP and contractual relationships. The Association structure enhances clarity around regulatory standing and asset protection.

Relationship between Vitality Now, Pods, and HoldCos

1. Vitality Now and Pods

• Vitality Now serves as the legal steward for the VitaDAO community.
• Vitality Now will be the Ultimate Beneficial Ownership (UBO) of all Pods, including but not limited to the Longevity Pod and the Web3 Pod.
• Pods operates semi-autonomously under the Association’s framework or through separate entities fully owned/controlled by the Verein.
• The Association facilitates and executes contractual agreements with service providers and other third parties as needed.

2. HoldCos and Vitality Now

• Vitality Now may own or control holding companies that manage projects and IP portfolios.

Key Responsibilities:

• Execution of VitaDAOs decisions
  • Execute decisions on any assets and IP portfolio according to community decisions approved through VitaDAO’s governance
  • Oversee IP rights acquisition/licensing/enforcement
• Contractual Authority:
  • Enter agreements with research institutions and other third parties
  • Negotiate terms with strategic objectives including those with core contributors, strategic contributors and service providers alongside Pods and Pod Leads
• Regulatory Compliance:
  • Maintain Swiss legal requirements adherence
  • Ensure transparent reporting to Swiss authorities and to the VitaDAO community
• Operational Support:
  • Facilitate administration/financial management on behalf of VitaDAO
  • Support the execution of projects approved through governance together with Pods
  • Manage contributors’ Multisignature wallets and Streams alongside Pods

Implementation Plan

1. Operational Integration

• Align Association processes with DAO governance including adjusting Multisig signers if necessary
• Establish reporting mechanisms
• Update compliance protocols

2. Ongoing Governance Coordination

• Ensure that the Association’s processes remain in sync with VitaDAO’s DAO-based governance mechanisms.
• Provide regular updates to the VitaDAO community on compliance, legal, and operational developments.

In keeping with their role in strategic planning and setting the budgetary framework for VitaDAO, Guardians are empowered to make decisions on the details of the operational setup of the Vitality Now Association in a timely and efficient manner.
