In Flex & Commodore’s stream renewal proposal, we outlined the creation of the LOI Transparency Committee (casually refered to as the “Full Kimono Krew”). Details of this clause will be posted at the bottom of this election.

As a reminder, here’s an outline of the process:

1. Flex & Commodore (F&C) create a list of nominees.
2. F&C ask each nominee if they’re comfortable in doxxing, willing to be on the committee, & are willing to sign the NDA. If so, add to the candidate list.
3. Bring the candidate list to the community for a vote. F&C would abstain from the vote. The community votes.
4. Elected committee executes NDAs, receives an update from F&C.

We are at step (3) of this process. The candidates are as follows:

• Magnus — Jerry from the early days. Founding team member of DeFi protocol Redacted Cartel. Co-CEO of Protecc Labs, an NFT focused Market Maker.
• Phelps — Phelps has been a fan and supporter of Krause House (KH) since buying a ticket in December 2021. Since then, he has held a tournament in Guatemala with Krause House branding and financial support, engaged fully into KH subgroup All In For Sport working to promote all sports globally with web3 tooling and IRL work, and connected KH capital team with bonafide legal experts in sports/acquisitions.
• Shanny — Shanny is a long-time KH member and steward. She is the lead for All In For Sport and a core member of the NFT NYC experiences team.
• Jess — Founder of Seed Club and early Krause House advocate. Jess is an expert in consumer crypto and advises some of the most well-known tokenized communities in web3.
• DLuxe — KH supporter since the early days, including Brand team, Vision & Vibes, NOLA and Media teams and right-hand to Uncle Jon for Season 2 Ball Hogs. Basketball "FAN"atic–Suns season ticket holder, NBA DFS podcaster, Top 2% NBA Top Shot and Sorare expert. Previous experience negotiating and evaluating numerous public and private transactions from both the M&A side as well as the brand side.
• Uncle Jon — I’m Uncle Jon. Aside from being the CEO of the Ball Hogs, I specialize in community management for some of our partners like Karate Combat and OTE. I have been with the DAO for a year and look forward to the very cool ways we are approaching being a fan.
• Bayesian Baller — Host of the Around The Association podcast and leads the community’s basketball analytics initiatives. Being a member of the Full Kimono team would allow Bayesian to craft custom content and data-driven projects specifically for teams engaged with Krause House.

The vote will occur using the “weighted voting” option. The top 3 vote getters will be added to the Full Kimono Krew, assuming execution of the doxx’d NDA. In the event that one of the winners is unable to execute the doxx’d NDA, the next highest vote getter will be asked.

As a reminder, Flex & myself will not vote in this election.

How can we improve transparency for the LOI work?

We’ve tried our best to maintain a balance of transparency without risking details that could sink a deal or violate any signed NDAs. This is by far one of our biggest challenges pursuing this mission as a DAO. We want to increase the transparency in this process by creating a larger group that we’re “full kimono” with.

Dubbed the “LOI Transparency Committee”, we’ll establish a group of 5 additional tokenholders (including the 2 now: Lewwwk & Mario) to be updated twice per month of details including:

• Which NBA teams we’re engaged with
• The owners / executives / representatives we’re engaged with
• High-level summaries of each material interaction

Each new member of the LOI Transparency Committee will need to execute a doxx’d NDA with Krause House Capital. For reference, the Krause House Capital entity is US-based and therefore more enforceable for any breaches.

The LOI Transparency Committee will be established & a first disclosure of status will be made within 45 days upon passing of this proposal. Each member of the committee must be nominated by either Flex or Commodore, the tokenholders will vote to determine their desired members.

In the event that a LOI Transparency Committee is not established & the first disclosure has not occurred within 45 days upon the passing of this proposal, this workstream will be cancelled effective immediately. In the event that an elected member refuses to execute their NDA within 7 days, they will be removed from the LOI Transparency Committee.
