Leadership Transition

Abstract This proposal outlines a process and framework for FWB DAO’s leadership process from a mayor and operating team into a new community-led model as we transition formally to an UNA. It includes a role overview, considerations (singular Mayor role vs. Leadership Council), target timeline, and process that should lay the foundation for future elections.

Background

As the first full-time contributor role at FWB, the Mayor has been responsible for developing FWB into a cohesive community-run organization. Prior to any legal formation or capitalization, the Mayor’s directive was to lead the founding team in establishing a vision for FWB, and to hire, organize, and inspire talent from within the DAO to execute that vision.

After the passing of the recent proposal that established FWB as an UNA, FWB is officially two symbiotic organizations: FWB DAO as an UNA (Unincorporated Nonprofit Association) and our newly formed software-focused C-corp (which is named “Scene Infrastructure Co.”).

Overview

FWB DAO, under its new mandate as an UNA, will operate in a more decentralized way with no explicit leader or unilateral decision maker.

As the future of the Mayor role has been discussed in our governance channels, a question has been raised as to whether a singular role is the best path forward, or if it should evolve into a Leadership Council which would allow for more voices around the table as well as more fluid leadership if someone deems the role no longer a fit.

This proposal establishes a three seat Leadership Council. The domain and responsibility of the Leadership Council would be focused on the FWB DAO and its community, increasing developer and creator activity, and use cases for FWB including events, content, software, and tools.

The Leadership Council would exist within the context of FWB as an Unincorporated Nonprofit Association. It is essential that the roles evolve within the context of the association agreement where decision-making authority for the organization lies with the members through validly enacted governance proposals (essential to maintaining decentralized governance) and not through wide grants of authority to individual members (as found in typically centralized operations).

FWB Council Role Description

The FWB DAO’s Leadership Council would have the following responsibilities:

  • Steward, refine, and execute FWB DAO’s vision of being the convening point for creatives, artists, and technologists in web3 who believe in the promise of a better internet.

  • Increase creator and developer activity being built for FWB

  • Maintain, improve, and evolve FWB governance to encourage more community proposals

  • Interface with FWB’s software entity SIC as an liaison and advocate for the DAO and community

  • Lead and define FWB DAO’s community initiatives through listening and understanding in order to stimulate strong community participation, high morale, and ambitious projects with successful outcomes

  • Identify new opportunities to help grow and expand the DAO’s influence and reach

Role Target Qualifications

  • Member of the FWB community for 1+ year

  • Leadership of an small to medium size organization for at least 2+ years

  • Experience in crypto native ecosystem development

  • Strong independent, self-starting work ethic

  • Strong communication and collaboration skills

Election Process

The FWB Council election process will involve the following:

  1. Candidate submissions will be open and anyone who is an FWB member can submit an application

  2. Existing core team to review submission under a community-approved rubric that is used to quantitatively and qualitatively assess applications and prepare most qualified 3-5 applicants.

  3. Candidates will be notified of their selection, and have 2 weeks to campaign a. Campaign Rules include i. No aggressive spamming ii. No smear campaigns against other candidates b. Campaign moments include, but are not limited to: i. Town Hall ii. Editorial Piece highlighting candidate’s backgrounds

  4. Election to take place via Snapshot

Additional Details

  • As a member of the FWB Treasury League, the Leadership Council will have access to external advisors to help navigate the complexities of being public facing thought leaders in a decentralized community.

  • Term limits will apply to all council members following an election. Additional amendments and suggestions are encouraged but will be ratified through a governance vote.

  • Compensation for the Leadership Council will be $40,000 USDC per Council seat annually with commensurate $FWB token vests.

  • We propose that 1 existing core team member transfers over to the Council to ensure seamless transition of existing processes and institutional knowledge. We propose IzzyB who is currently leading operations and has sat across treasury, compensation, marketing, governance, legal, FEST, and the Event Keys program. They worked under FWB’s previous Operations Lead and with existing advisors.

Transition Timeline

Target transition date will be the end of Q3/beginning of Q4.
