Simple Summary

In December 2023 the Shutter Network Genesis Launch Program was announced. Due to the involvement and contribution of the CoW team to MEV-mitigation reasearch and development, and thanks to the ongoing collaboration with the Shutter team, CoW DAO was given an allocation of SHU tokens in the Shutter Network Genesis Launch Program.

This CIP proposes that CoW DAO claims its SHU token allocation from Sutter DAO and delegates these tokens to middleway.eth (0xA11DA8B2D9A7883eb636d7de426025e5fD9fda1A) as a representative of CoW DAO in Shutter DAO governance. This delegation aims to ensure that CoW DAO’s strategic interests are represented within the Sutter DAO ecosystem, making use of the governance and utility potential of the SHU token.

Motivation

The aim of this proposal is two-fold: firstly, to actively participate in the governance of Sutter DAO to safeguard and advance CoW DAO’s interests and broader vision; and secondly, to utilize middleway.eth’s involvement and understanding of CoW DAO’s ethos for this purpose. By leveraging their position and insight within the community, we can navigate Sutter DAO’s governance effectively, in alignment with CoW DAO’s principles of community-driven decision-making and strategic collaboration.

Specification

1. Claim CoW DAO’s SHU allocation using the below Safe transaction
2. This transaction will create a vesting contract for CoW DAO. The address will be known only after execution, and therefore signers will be responsible for making the second transaction for delegating CoW DAO’s voting rights to middleway.eth
3. Governance Participation: middleway.eth will participate on behalf of CoW DAO in relevant discussions and decision making process within Shutter DAO. CoW DAO can evaluate and reconsider its delegation strategy in the future.

Rationale

This proposal allows CoW DAO to leverage its SHU tokens to influence Sutter DAO’s trajectory positively and according to CoW DAO’s interests and values. It reflects our strategy of thoughtful participation in governance to ensure our actions align with our long-term vision.

Execution

Execution of this proposal requires two steps.

1. The first step of claiming SHU tokens will be automatically executed if this proposal passes quorum, according to the below safe transaction.
2. The second step will make use of the newly created vesting contract to delegate CoW DAO’s voting rights to middleway.eth. This step will be executed by safe signers since at this point the contract address cannot be deterministically determined.
