Proposal

This proposal seeks DAO approval for Beethoven X DAO to continue its role under a newly formalized Consulting Agreement with Balancer OpCo Limited, a BVI company acting on behalf of the Balancer DAO (“Onchain” or the “Company”). The agreement represents a direct continuation of the arrangement in place since April 2023. The new Consulting Agreement has a term of nine (9) months and serves to formalize the existing relationship within the updated legal and organizational framework of Balancer DAO.

Motivation

Since April 2023, Beets contributors have been engaged as service providers to Balancer under a framework approved by the DAO. This collaboration has consistently delivered value to both ecosystems and has already been recognized as a strategic partnership by prior DAO decisions.

The Consulting Agreement does not alter the nature of the relationship. Instead, it adapts the established arrangement to the new legal structure of Balancer DAO, ensuring continuity while providing clarity on matters such as liability, confidentiality, IP rights, and conflicts of interest.

By approving this proposal, the DAO reaffirms:

• Continuity: The agreement is an extension of the long-standing service provider relationship.
• Clarity and alignment: A structured scope of work under the Ecosystem Roadmap, terms, and obligations.
• Stability: Contributors remain engaged under familiar terms, ensuring uninterrupted collaboration.

Agreement Scope and Terms

The Consulting Agreement maintains the existing relationship and introduces no changes beyond formalization under the new Balancer entity.

Impacts / Risk Assessment

• Treasury: No impact. Payments remain structured as before.
• Contributors: Continued engagement under stable and consistent terms.
• Ecosystem: Reinforces and sustains the strategic collaboration between Beets and Balancer DAO.
• Risk: Minimal, as this is not a renegotiation but a formalization of an existing arrangement dating back to April 2023.

Specification / Execution Plan

If approved:

• Beets DAO will sign the Consulting Agreement with Balancer OpCo Limited on behalf of Balancer DAO.
• The Agreement will run for a nine-month term.
